The Board of Directors consists of seven members: the Chair and six directors. Four are appointed by the President of the Lombardy Region, one by the Ministry of Health, one by the Mayor of Milan and one by the participating entities, where applicable. If there are no participating entities, the appointment is made by the President of the Lombardy Region.
The Board of Directors is responsible for setting policy and exercising oversight.
In particular, its tasks include:
- Appoint, upon indication of the President of the Lombardy Region and after consulting the competent Minister for Health, the President of the Foundation chosen from among the members designated by the President of the Lombardy Region, as well as the Director General, upon indication of the President of the Lombardy Region;
- Appoint the members of the Technical-Scientific Committee;
- Adopt the Foundation’s Regulations;
- Approve the Foundation’s strategic guidelines in alignment with the general guidelines of national and regional planning;
- Approve, upon proposal of the Director General, the draft budget, the annual financial statements, and the activity program, and verify their implementation;
- Oversee and monitor, generally through the President and on the basis of specific reports by the Director General and the Scientific Director, that administrative, management, and research activities are consistent with approved programs and directed toward predefined results;
- Resolve on the acceptance of inheritances, legacies, donations, other grants, and on asset-related changes;
- Authorize the President to initiate legal actions and/or to defend the Foundation in court;
- Approve, upon proposal of the Director General, the organizational plan for departments and complex structures, and adopt the staffing plan;
- Approve agreements with Universities, upon proposal of the Director General, concerning specialization schools, as well as agreements relating to institutional collaborations with them;
- Determine the remuneration of the President and members of the Board of Directors, the members of the Board of Auditors, and the external members of the Technical-Scientific Committee, as well as the compensation of the Director General, the Scientific Director, the Administrative Director, and the Health Director;
- Approve amendments to the Statute;
- Resolve on the dissolution of the Entity and the allocation of its assets, where the conditions provided for by applicable law are met;
- Perform any additional tasks assigned by the Foundation’s Statute;
- Establish a joint committee, coordinated by the Director General, between the Foundation and Universities, with the aim of assessing and developing all areas of common interest;
- Grant the status of participant in accordance with the provisions of the Statute;
- Resolve on the establishment, dissolution, and terms and conditions of participation in other entities and companies, subject to authorization by the Lombardy Region;
- Approve annual and/or multi-year programs on the basis of which the Foundation carries out its activities;
- Assign annual corporate objectives to the Director General and the Scientific Director and evaluate their achievement;
- Appoint the officer responsible for corruption prevention and transparency in accordance with Law No. 190/2012 and Legislative Decree No. 150/2009.
The current Board of Directors shall remain in office until 31 December 2028, unless removed for just cause.
Secretary to the Board of Directors
The Secretary to the Board of Directors is responsible for coordinating the technical and operational activities of the Chairman and the Board of Directors and for acting as a liaison between the Chairman, the Board of Directors and the General Management.
The Secretary is appointed by the Board of Directors on the recommendation of the President of the Lombardy Region.
